These Terms of Service (the “Terms”) are a binding agreement between you and yolo, the operator of yolo.casa (“yolo”, “we”, “us” or “our”). They govern your use of the yolo website at yolo.casa, its web app, the yolo Telegram bot, yolo AI and every related feature, API and service (together, the “Services”).
Please read these Terms carefully. Section 21 contains a binding arbitration agreement and a class action waiver that affect how disputes are resolved. By creating an account, connecting a wallet or otherwise using the Services, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.
1.Eligibility and restricted locations
To use the Services you must:
- be at least 18 years old and of legal age to form a binding contract where you live;
- not be a person or entity named on, owned or controlled by anyone named on, or acting for anyone named on, any sanctions list maintained by the United States (including the Office of Foreign Assets Control (OFAC) Specially Designated Nationals list), the United Nations, the European Union, the United Kingdom or any other applicable authority (a “Sanctioned Person”);
- not be located in, organized in or ordinarily resident in Cuba, Iran, North Korea, Syria, the Crimea, Donetsk or Luhansk regions of Ukraine, or any other country or region subject to comprehensive sanctions or embargo (each a “Restricted Jurisdiction”);
- not be barred from using the Services under any law that applies to you.
Perpetual futures, leveraged trading and any other derivative product reached through the Services are not offered to U.S. Persons. A “U.S. Person” means any natural person resident in the United States, and any entity organized or incorporated under U.S. law or with its principal place of business in the United States. By using those features you confirm you are not a U.S. Person and are not acting for one.
You may not use a VPN, proxy or any other method to hide your location or get around these restrictions. We may use IP address, wallet screening and other signals to block access, and we may add, remove or change Restricted Jurisdictions or restrict any feature in any location at any time without notice. Making the Services available somewhere is not a statement that using them there is lawful. You are responsible for complying with the laws that apply to you.
2.What yolo is and is not
yolo is a software interface that helps you find tokens on the Sui blockchain and build, sign and send transactions to third-party smart contracts, decentralized exchanges, launchpads, lending markets and perpetual futures protocols. yolo also offers social, alert, analytics and AI features.
yolo is not a broker, dealer, exchange, custodian, bank, money transmitter, investment adviser or fiduciary. We do not take custody of your assets, we do not trade against you, we do not match orders, and we do not hold funds on your behalf. Trades settle on chain between your wallet and the smart contracts you choose to use. Nothing in the Services creates a fiduciary, agency or partnership relationship between you and us, except the limited signing authority you grant for the automated features described in Section 5.
3.Accounts, wallets and keys
Embedded wallets. If you log in with email, a social account, a passkey or Telegram, a self-custodial Sui wallet is created for you by our wallet provider, Privy. Your key is secured by Privy’s infrastructure and your login, not held by yolo. You can export your private key in Settings. Privy’s own terms and privacy policy apply to its service.
External wallets. You can instead connect a Sui wallet you already control (for example Slush). You approve each transaction in that wallet unless you set up a trading wallet.
Trading wallets. If you connect an external wallet, you can create a separate yolo trading wallet, also provided through Privy, and move funds into it to trade without approving each transaction. What you move in is the most you can lose through it. You can move funds back at any time.
You are solely responsible for your login methods, devices, keys, seed phrases and anything done with them. We cannot recover a lost key, reverse a transaction or restore access to a wallet you no longer control. We are not liable for losses caused by a compromised email, social account, device or key, or by phishing, malware or someone you share access with. Tell us right away at [email protected] if you think your account is compromised.
Profiles and usernames. Usernames, display names and profile pages are licensed to you for use on yolo and remain ours to manage. We may reclaim, change or remove any username or profile, for example if it impersonates someone, infringes rights, misleads people or sits unused.
4.Transactions are your decision and are irreversible
Every trade, transfer, order, launch, deposit and withdrawal is initiated by you or by an automated feature you turned on. Before you confirm, you are responsible for checking the token, amount, price, slippage, fees, route and destination. Quotes, prices, price impact, estimated outputs and balances shown in the app are estimates and can change before a transaction lands.
Blockchain transactions are irreversible. Once a transaction is submitted to the Sui network or another chain, neither you nor we can cancel, reverse or refund it. A transaction can fail, land at a worse price than shown, or be affected by network congestion, validator behavior, front-running, sandwich attacks or other activity on chain. Failed transactions may still cost gas.
5.Instant trading and other automated features
Some features act for you without a wallet prompt for each transaction: instant trading (also called 1-click trading), limit and plan orders, take profit and stop loss, copy trading, the sniper, price triggered actions, trade tickets from yolo AI and the Telegram bot.
How it works. When you turn on instant trading, you add a yolo signing key to your Privy wallet through Privy’s authorization key feature, and you authorize yolo’s servers and keepers to sign and submit transactions from that wallet for the actions you set up, within any per-trade or daily limits you choose. This is opt-in. You can turn it off in Settings at any time, which removes the signing permission for new actions. It does not undo transactions already sent.
You understand and agree that automated features:
- run on software, servers, price feeds, indexers, RPC nodes and third-party protocols that can be slow, wrong, unavailable or attacked;
- may execute late, partly, more than once, at a worse price than your trigger, or not at all, and may miss fast moves;
- follow the settings you gave them, even when market conditions make that a bad idea, until you change or cancel them;
- in the case of copy trading, mirror another person’s trades, which may be losing, manipulative or made in bad faith, and which we do not review or endorse;
- in the case of the sniper, buy newly launched tokens that are highly likely to be worthless, illiquid or scams.
We do not guarantee any execution, price, timing or outcome. You are responsible for the settings you choose and for every transaction an automated feature sends under them. To the fullest extent permitted by law, we are not liable for losses from an automated feature acting, or failing to act, as described above.
6.Risks you accept
Trading digital assets is extremely risky and you can lose everything you put in. By using the Services you confirm that you understand and accept these risks, including:
- Volatility. Token prices can move to zero in minutes. Memecoins and newly launched tokens usually have no intrinsic value, thin liquidity and concentrated holders, and many are rug pulls, honeypots or scams.
- Leverage and liquidation. Perpetual futures use leverage. A small price move can liquidate your position and wipe out your margin. Funding payments, fees and oracle prices are set by the protocol, not by us.
- Smart contract risk. The contracts you interact with, including contracts we wrote, may contain bugs, be exploited, be upgraded or be paused, causing partial or total loss.
- Third-party protocol risk. DEXes, launchpads, bonding curves, lending markets, bridges and solvers are run by others and can fail, change terms, freeze assets or disappear.
- Stablecoin and bridge risk. Stablecoins can lose their peg and cross-chain transfers can be delayed or lost.
- Network risk. Sui or another network may halt, fork, reorganize, congest or change in ways that affect your assets.
- Regulatory and tax risk. Laws on digital assets are changing and may restrict or end your ability to use some or all of the Services or hold certain assets.
- Data risk. Prices, charts, holder counts, profit and loss, trending lists, scores and labels come from on-chain data and third parties and may be delayed, incomplete or wrong.
Perpetual futures and leverage are for people who understand them. Each time you open or change a leveraged position you confirm that you understand how perpetual futures, margin, leverage, funding and liquidation work, that you can lose your whole margin quickly, that you chose the size and leverage yourself, and that you are able to bear that loss. If you do not understand these products, do not use them.
Only use money you can afford to lose completely. Past performance, including any trader’s profit and loss, win rate or leaderboard rank, does not predict future results.
7.No investment, financial, legal or tax advice
Everything in the Services is for information only and is not investment, financial, trading, legal, accounting or tax advice, a recommendation, or an offer or solicitation to buy or sell any asset. This includes token pages, trending and featured lists, Pulse, leaderboards, trader profiles, social posts, alerts, copy trading, notifications, tax exports and yolo AI answers.
You alone decide whether a trade is right for you. Do your own research and talk to a qualified professional if you need advice. We do not vet, audit or approve any token, and listing or showing a token is not an endorsement.
8.yolo AI
yolo AI is a chat assistant powered by third-party AI models, currently from Anthropic. It can look up market and on-chain data, explain things and draft trade, order or launch tickets.
- AI output can be wrong. It may be inaccurate, out of date, incomplete or made up, even when it sounds confident. Do not rely on it as advice or as the only basis for a decision.
- yolo AI never trades on its own. Any ticket it drafts does nothing until you review and confirm it, and you are responsible for that confirmation.
- Do not put secrets in a chat, such as private keys, seed phrases, passwords or other people’s personal data.
- Chats are stored and processed as described in the Privacy Policy, including to run, secure and improve the Services. You can opt out of improvement use in Settings.
We may limit, change or turn off yolo AI at any time. You may not use it to build a competing product, to extract its prompts, or to generate anything that breaks these Terms.
9.Launching coins and user-created tokens
The Services let anyone launch a token through third-party launchpads and pools (for example suipump, PopularSui, Perpsplexity or a Cetus pool). Most tokens on yolo are created by users, not by us.
We do not create, issue, sponsor, review, vet or endorse user-created tokens, and we are not responsible for them, their creators, their value or anything their creators say or do. A token appearing on yolo, trending, getting a badge or being shown by yolo AI says nothing about its quality or legitimacy.
If you launch a token, you represent and agree that:
- you own or have permission to use its name, ticker, image, description and links, and they do not infringe anyone’s trademark, copyright, publicity or other rights;
- it is not a security, investment contract, or other regulated instrument in any place where it is offered, and you will not market it as an investment or promise returns;
- it does not impersonate a real person, brand, project or government, and is not designed to deceive or defraud buyers;
- you are solely responsible for complying with all laws that apply to creating, promoting and selling it.
We may hide, delist, label or remove any token, image or text from the Services at any time, for any reason. We cannot change or remove a token from the blockchain itself.
10.Fees
yolo charges fees on some features. The fee that applies to a transaction is shown, alone or as part of a total, before you confirm, and by confirming you agree to it. Fees are taken on chain as part of the transaction and are not refundable. At the date above, they include:
- a trading fee on spot swaps, shown in the trade panel;
- a builder fee on perpetual futures that, together with Aftermath’s fee, makes the total fee shown on the order (currently 0.1% of notional);
- a fee on limit, plan and advanced orders, shown on the ticket;
- a launch fee when you launch a coin (currently 0.1 SUI);
- a fee on sniper buys (currently 5%, paid in USDC);
- fees on card deposits and cash outs through Coinbase, added to Coinbase’s own fee and shown as one total.
You also pay any fees charged by third parties, such as network gas, DEX and pool fees, launchpad fees, perps protocol fees and funding, Coinbase fees and bridge or solver fees. We do not control those.
Gas sponsorship. We may pay network gas for some transactions at our discretion. Sponsorship is a courtesy, not a right. We may limit it, set conditions on it, or stop it for any user or transaction at any time, and we may refuse to sponsor transactions we believe abuse it.
We may add, change or remove fees at any time. New fees apply only to transactions you confirm after they take effect.
11.Referrals, levels, chests and leaderboards
XP, levels, streaks, chests, badges, clans, leaderboard ranks and similar features are for fun. They have no cash value, are not property, cannot be sold or transferred, and can be changed, reset or ended at any time. Any reward they unlock is a promotional benefit we can withdraw.
Referral and affiliate rewards are paid only as described in the app at the time, and only for genuine referrals. Self-referrals, multiple accounts, fake or bought users, and wash trading or circular transfers to inflate volume, profit, rank or rewards are not allowed. We may void rewards, reset stats, remove you from leaderboards or close accounts when we believe this happened, and our decision is final.
Leaderboards, profiles and trade feeds are built from public blockchain data and may be incomplete or inaccurate.
12.Third-party services
The Services connect to products we do not own or control, including Privy (wallets and login), Aftermath (perpetual futures and swap routing), Cetus and other Sui DEXes, launchpads such as suipump, PopularSui and Perpsplexity, lending markets such as NAVI, Suilend, Scallop, Current and Abyss, Coinbase (card deposits and cash outs), NEAR Intents (cross-chain withdrawals), Anthropic (yolo AI), Telegram, and push notification services run by your browser or device maker.
Your use of a third-party service is between you and that provider and may be subject to its own terms, fees, identity checks and privacy policy. Coinbase, for example, decides whether to accept your deposit or cash out. We do not guarantee, endorse or take responsibility for any third-party service, and we are not liable for its acts, failures, outages, exploits or decisions. Links to other sites are provided for convenience only.
13.Prohibited conduct
You agree not to, and not to help anyone else:
- break any law, including sanctions, anti-money laundering, securities, commodities, consumer protection and tax laws;
- launder money, finance terrorism, evade sanctions or move proceeds of crime;
- manipulate markets, including wash trading, spoofing, pump and dump schemes, coordinated buying or selling to mislead others, or trading on stolen or non-public information;
- create, promote or trade tokens that are scams, rug pulls, honeypots, unregistered securities, or that impersonate others;
- defraud, phish, threaten, harass or deceive other users;
- abuse gas sponsorship, rewards, referrals or promotions, for example with many wallets or scripted activity;
- use bots, scrapers, crawlers or automated means to access the Services or copy their data, except through features or APIs we provide for that purpose and within their limits;
- probe, scan, overload, attack, reverse engineer or bypass the security, rate limits or access controls of the Services;
- use the Services from a Restricted Jurisdiction, as a Sanctioned Person, or hide your location to get around restrictions;
- impersonate anyone, misrepresent your affiliation, or use someone else’s account or wallet without permission;
- post or launch anything that breaks Section 14.
14.Your content and moderation
You may post content on yolo, such as profile details, posts, comments, chats, clan content, token names, images and descriptions (“User Content”). You keep ownership of your User Content. You grant us a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, sublicensable and transferable license to host, store, copy, display, adapt, distribute and otherwise use it to operate, promote and improve the Services.
You are responsible for your User Content and confirm you have the rights to post it. Do not post content that is illegal, infringing, defamatory, obscene, hateful, harassing, violent, sexually explicit involving minors, deceptive, spam, a scam, someone else’s private information, or financial promotion you are not allowed to make.
We are not obliged to monitor User Content, but we may review, label, hide or remove any of it, and limit, suspend or close any account, at any time and for any reason, without notice or liability. Content you post publicly can be seen, copied and shared by others, and on-chain data can never be removed.
If you think content on yolo infringes your copyright or other rights, write to [email protected] with enough detail for us to find and assess it.
15.Our intellectual property
The Services, including their software, design, text, graphics, characters, logos and the yolo name and marks, are owned by us or our licensors and protected by law. We grant you a limited, personal, revocable, non-exclusive, non-transferable license to use the Services for your own non-commercial use under these Terms. All other rights are reserved. You may not copy, modify, sell, frame or create derivative works of the Services, or use our marks without our written permission.
If you send us ideas, suggestions or feedback, including ratings of AI answers, we may use them freely without paying or crediting you.
16.Taxes
You are solely responsible for working out, reporting and paying any taxes on your activity. Tax exports and profit and loss figures in the app are a convenience, may be incomplete or wrong, and are not tax advice.
17.Changes, availability and termination
We may change, add or remove any feature, token, market, venue, chain or integration, and may suspend or end any part of the Services, at any time, with or without notice. The Services may be unavailable because of maintenance, outages, attacks or events we do not control. We are not liable for any loss caused by unavailability, including missed trades or delayed orders.
We may restrict, suspend or terminate your access, cancel open orders and automated features, revoke instant trading permissions, and stop serving your wallet, at any time and for any reason, including if we believe you broke these Terms, if the law requires it, or to protect users or the Services. Because yolo is non-custodial, your assets stay in your wallet and remain accessible with your keys or through other interfaces.
You can stop using the Services at any time. Sections that by their nature should survive termination (including fees owed, risks, disclaimers, limitation of liability, indemnity and dispute resolution) survive.
18.Disclaimer of warranties
The Services are provided “as is” and “as available”, with all faults. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement and accuracy, and any warranty arising from course of dealing or usage. We do not warrant that the Services, any data or price, any AI output, or any third-party service will be accurate, timely, secure, error free or uninterrupted, or that any transaction or automated action will execute as expected. Some places do not allow certain disclaimers, so some of these may not apply to you.
19.Limitation of liability
To the fullest extent permitted by law, yolo and its affiliates, and their officers, directors, employees, contractors, agents and licensors (the “yolo Parties”), will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, trading gains, digital assets, data, goodwill or opportunity, arising out of or relating to the Services or these Terms, however caused and under any theory of liability, even if advised of the possibility.
The total liability of the yolo Parties for all claims arising out of or relating to the Services or these Terms, added together, will not exceed US$100.
Without limiting the above, the yolo Parties are not liable for losses caused by market movements, liquidations, smart contract or protocol failures, third-party services, blockchain networks, automated features acting as set up, AI output, your keys or devices being compromised, or your breach of these Terms. These limits apply even if a remedy fails of its essential purpose, and only to the extent the law allows.
20.Indemnification
You agree to indemnify, defend and hold harmless the yolo Parties from any claims, losses, damages, liabilities, fines, costs and expenses (including reasonable legal fees) arising out of or relating to your use of the Services, your transactions and automated settings, any token you launch, your User Content, your breach of these Terms, or your violation of any law or anyone’s rights. We may take over the defense of any such matter, and you will cooperate with us.
21.Disputes, arbitration and class action waiver
Talk to us first. Before starting any formal claim, you agree to send a written notice describing it to [email protected] and to try in good faith to resolve it with us for 60 days.
Binding arbitration. Any dispute, claim or controversy arising out of or relating to the Services or these Terms, including their formation, validity or scope, that is not resolved informally will be resolved by final and binding arbitration administered by JAMS under its Streamlined Arbitration Rules and Procedures, before a single arbitrator, seated in Wilmington, Delaware, in English. Judgment on the award may be entered in any court with jurisdiction. Either party may instead bring an individual claim in small claims court, or seek an injunction in court to protect intellectual property or stop misuse of the Services.
The Federal Arbitration Act governs how this section is read and enforced. The arbitrator, not a court, decides whether a dispute belongs in arbitration.
Your right to opt out. You can decline arbitration by writing to [email protected] within 30 days of first using the Services, giving the wallet address or email you use with yolo. Opting out does not change any other part of these Terms.
Class action and jury trial waiver. You and we agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any class, collective, consolidated or representative proceeding. The arbitrator may not consolidate claims or award relief to anyone other than the individual party. To the extent any claim goes to court, you and we waive any right to a jury trial.
Time limit. Any claim must be brought within one year after it arises, or it is permanently barred, to the extent the law allows.
If the class action waiver is found unenforceable for a claim, that claim must be heard in court, not arbitration. If any other part of this section is found unenforceable, the rest still applies.
22.Governing law
These Terms and any dispute between you and us are governed by the laws of the State of Delaware, United States, without regard to conflict of law rules. Subject to Section 21, the courts located in the State of Delaware, United States have exclusive jurisdiction, and you consent to them.
23.Changes to these Terms
We may change these Terms at any time. We will post the new version here and update the date at the top, and for material changes we may also tell you in the app. Changes take effect when posted unless we say otherwise. If you keep using the Services after that, you accept the changes. Changes to Section 21 will not apply to disputes we already knew about before the change.
24.General
These Terms and the Privacy Policy are the entire agreement between you and us about the Services and replace any earlier agreement. If any part is found unenforceable, it will be limited to the minimum extent needed and the rest stays in effect. Our failure to enforce a right is not a waiver. You may not assign these Terms without our consent; we may assign them freely, including in a merger or sale. We are not liable for delays or failures caused by events beyond our reasonable control, including network failures, attacks, exploits, outages of third-party services, changes in law or acts of government. These Terms are written in English, which controls over any translation.
